1. Acceptance of Terms
By accessing and using the website and services of Bilal Sons Trader ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our website or services.
2. Services
Bilal Sons Trader provides IT consulting, managed IT support, network setup and security, IT hardware supply, cloud solutions, and CCTV/surveillance services to businesses in Punjab, Pakistan and surrounding regions. The specific scope, deliverables, and terms of any service engagement will be defined in a separate Service Agreement or Statement of Work (SOW) mutually agreed upon by both parties.
3. Service Agreements
All managed service subscriptions and project-based engagements are governed by individual Service Agreements that specify:
- Scope of services and deliverables
- Service Level Agreements (SLAs) including response times
- Duration and renewal terms
- Pricing and payment schedule
- Termination conditions
In the event of a conflict between these general Terms and Conditions and a specific Service Agreement, the Service Agreement shall prevail.
4. Pricing and Payment
4.1 Pricing
All prices listed on our website are in Pakistani Rupees (PKR) and are exclusive of applicable government taxes unless otherwise stated. Prices are subject to change; however, any price changes will not affect services already under contract.
4.2 Payment Terms
- Monthly subscription services are billed in advance at the beginning of each billing cycle.
- Project-based services may require an advance payment of up to 50% before work commences, with the remainder due upon completion or as specified in the SOW.
- Payment is due within 15 days of invoice date unless otherwise agreed in writing.
- We accept bank transfer, JazzCash, and other approved payment methods.
4.3 Late Payment
Invoices not paid within the agreed timeframe may incur a late payment surcharge of 2% per month on the outstanding amount. Bilal Sons Trader reserves the right to suspend services for accounts with overdue payments exceeding 30 days.
5. Client Obligations
To enable us to provide services effectively, you agree to:
- Provide timely and accurate information about your IT infrastructure and requirements.
- Grant necessary access to systems, networks, and premises as required for service delivery.
- Maintain valid licenses for all software and systems under our management.
- Notify us promptly of any issues, changes, or incidents affecting the services.
- Designate a primary contact person for communication regarding the services.
- Make payments in accordance with the agreed terms.
6. Intellectual Property
All intellectual property created by Bilal Sons Trader in the course of providing services (including but not limited to custom software, scripts, documentation, and configurations) remains the property of Bilal Sons Trader unless explicitly transferred to the Client in writing. The Client is granted a non-exclusive, non-transferable license to use such materials for their internal business purposes.
7. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the service engagement. This includes, but is not limited to, business data, network configurations, security credentials, and financial information. This obligation survives the termination of the service relationship.
8. Limitation of Liability
Bilal Sons Trader shall not be liable for:
- Indirect, incidental, special, or consequential damages arising from the use of our services.
- Loss of data, revenue, or business opportunities resulting from system failures, cyberattacks, or events beyond our reasonable control.
- Damages caused by the Client's failure to follow our recommendations or maintain proper security practices.
- Third-party hardware or software failures beyond our control.
Our total liability for any claim arising from or related to our services shall not exceed the total amount paid by the Client for the specific service in question during the 12 months preceding the claim.
9. Warranties and Disclaimers
We warrant that our services will be performed with reasonable skill and care consistent with industry standards. However:
- We do not guarantee that our services will be uninterrupted, error-free, or that all issues will be resolved within a specific timeframe.
- Hardware supplied by us carries the manufacturer's warranty only. We facilitate warranty claims but are not responsible for manufacturer defects.
- We are not liable for the performance or failures of third-party products, services, or software recommended or implemented by us.
10. Termination
10.1 By the Client
Monthly subscription services may be cancelled with 30 days' written notice. Project-based services may be terminated subject to the terms of the specific SOW, which may include early termination fees.
10.2 By Bilal Sons Trader
We reserve the right to terminate or suspend services immediately if:
- Payment is overdue by more than 30 days.
- The Client breaches any material term of these Terms or the Service Agreement.
- The Client uses our services for illegal or unethical purposes.
- Continuing services would pose a risk to our operations or other clients.
10.3 Effect of Termination
Upon termination, all outstanding invoices become immediately due. We will provide reasonable assistance in transitioning services to the Client or a new provider, subject to payment of all outstanding amounts.
11. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from circumstances beyond their reasonable control, including but not limited to natural disasters, power outages, internet disruptions, government actions, pandemics, or civil unrest.
12. Governing Law and Dispute Resolution
These Terms and Conditions shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising from these terms or our services shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the jurisdiction of the courts in Punjab, Pakistan.
13. Modifications
We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on this page with an updated effective date. Continued use of our services after changes are posted constitutes acceptance of the modified terms.
